Konflik antara kelompok dalam perusahaan (agency conflicts)                

Intinya yang dimaksud dengan konflik antarkelompok atau agency conflicts adalah konflik yang timbul antara pemilik, karyawan dan manajer perusahaan di mana ada kecenderungan menjer lebih mementingkan tujuan individu daripada tujuan perusahaan. Problem ini muncul terutama apabila perusahaan menghasilkan freecash flows yang sangat besar. Yang dimaksud dengan free cash flows adalah aliran kas bersih yang tidak dapat di investasikan kembali karena tidak tersedia kesempatan investasi yang profitable.

 

Selain itu konflik antara manajemen dan pemegang saham sering timbul dalam transaksi pembelian sebuah perusahaan oleh perusahaan besar dengan menggunakan utang yang sering disebut dengan leveraged buyout (LBO). Dalam leveraged buyout biasanya manajemen merasa bahwa perusahaan dinilai terlalu rendah underprice akan mengatur perjanjian kredit, melakukan penawaran atau tender offer untuk membeli saham perusahaan yang sebelumnya tidak dimiliki oleh group manajemen, dan kemudian secara langsung mengendalikan sekaligus memiliki perusahaan. Konflik antara manajemen dan pemegang saham muncul karena dalam praktik pembelian saham tersebut manajemen seringkali dipandang melakukan penawaran yang kurang wajar.
